These Terms of Service (“Terms”) govern your access to and use of Dependal’s website, dashboard, API, and related services (the “Service”). By using the Service, you agree to these Terms.

1. Who we are

The Service is operated by Dependal Ltd (“Dependal”, “we”, “us”).

2. The Service

Dependal provides a transactional email API and supporting tools (including logs, suppressions, quotas, and monitoring features). We may update or modify the Service over time.

3. Transactional-only use

The Service is intended for transactional and service-related messages. Marketing, promotional, bulk outreach, or newsletter sending is not permitted unless approved by Dependal in writing.

4. Your responsibilities

• You must comply with our Acceptable Use Policy and Anti-Spam Policy.
• You are responsible for the content you send and your compliance with applicable laws.
• You must maintain the security of your credentials and API keys.
• You must only send to recipients who reasonably expect your messages.

5. Suspension and termination

We may suspend, throttle, or terminate your access immediately if we believe your use presents a security or abuse risk, violates these Terms or our policies, or could harm deliverability or our providers.

6. Availability and deliverability

We aim to provide a reliable Service, but we do not guarantee uninterrupted availability or that emails will always be delivered or placed in inboxes (deliverability depends on many factors outside our control).

7. Fees and billing

If you are on a paid plan, fees and plan limits will be described at the time of purchase. Taxes may apply. Non-payment may result in suspension of the Service.

8. Intellectual property

We retain all rights in the Service and its underlying technology. You retain rights in your content.

9. Limitation of liability

To the maximum extent permitted by law, Dependal will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid to Dependal for the Service in the three months before the event giving rise to the claim (or £100 if you paid nothing).

10. Indemnity

You agree to indemnify and hold harmless Dependal from claims arising out of your use of the Service, including content you send and your breach of these Terms or our policies.

11. Governing law

These Terms are governed by the laws of England and Wales. Courts of England and Wales will have exclusive jurisdiction, except where consumer law requires otherwise.
